Terms of Service

1. Acceptance of Terms
By creating an account and using NextReserva, you agree to follow and be bound by these Terms of Service. These terms apply to all visitors, users, and others who access or use our logistics engine and AI assistant.
2. What NextReserva Is β and Is Not
NextReserva is a software provider: we give you the tools to manage bookings, availability, staff, sales channels and payments. We are not a tour operator, travel agency, carrier, insurer or payment institution. The tours and services sold through the platform are yours: the end customer contracts with you, the law treats you as the seller, and it is your responsibility to meet the legal requirements of your activity β including licensing (such as RNAVT in Portugal), mandatory insurance and safety rules.
Note: nothing in these Terms creates a partnership, joint venture or employment relationship between you and NextReserva.
3. Subscription and Billing
We offer several subscription tiers designed to scale with your operation:
Basic Plan
Foundational logistics. Includes a 14-day free trial. Direct synchronization for Viator and GYG.
Starter/Growth/Elite
Advanced features including WhatsApp dispatch, Moloni invoicing, and Alva AI support.
All billing is handled securely via Stripe. Subscriptions renew automatically at the end of each billing cycle unless cancelled.
4. Transaction Commissions
In addition to the subscription fee, NextReserva charges a commission on bookings processed through the platform. The commission applies to bookings from OTAs and from the Widgets on your website, and varies with your plan: 1.5% on Basic and Starter, 1.25% on Growth and 1.0% on Elite. In-person Tap to Pay charges carry a fixed 1.5% commission regardless of plan. We charge no commission on bookings generated outside the system. Commissions are withheld automatically at the time of payment, through Stripe.
Stripe's processing fees are charged separately by Stripe and vary with the customer's card and country. Any service fee you choose to add to the price charged to the end customer is set by you and accrues to your business β it is your sole responsibility to ensure that such a fee is lawful in your country and clearly disclosed to the customer before payment.
5. Feature Gating
Access to specific automation features like WhatsApp dispatch is governed by your active subscription plan. Basic plans do not include WhatsApp dispatch support.
Note: Plan upgrades take effect immediately.
6. Refund Policy
Strictly no refunds for subscription fees. Once a payment is processed, it is non-refundable regardless of service usage status.
If you decide to cancel, your access will continue until the end of the current paid billing cycle. We encourage all users to fully utilize the 14-day trial of our Basic plan before upgrading to premium tiers.
7. Cancellation
You may cancel your subscription at any time through the Billing Dashboard. No further charges will be applied after the current billing period concludes.
8. Content You Upload to the Platform
You are solely responsible for all content you upload to NextReserva β photographs, videos, text, itineraries, logos and any other material used in your Products, Widgets and listings. By uploading content, you represent and warrant that you hold the necessary rights, or a valid licence or authorisation to use it commercially and to authorise us to display it. NextReserva does not check, validate or accept any responsibility for the origin, licensing or legality of the images and text you choose to publish, including those visible in Widgets installed on your website and in listings sent to OTAs. You grant us a worldwide, non-exclusive, royalty-free licence to store, reproduce, technically adapt (for example, resize or convert formats) and display that content, solely to provide the service to you; this licence ends when you delete the content, except for backup copies. If a third party brings a claim against us because of content you uploaded β copyright, trade marks, image rights or third-party personal data β you agree to defend us and indemnify us against all resulting costs, damages and expenses. We may remove or disable access to any content we consider in good faith to be unlawful, infringing or contrary to these Terms, without prior notice where urgency justifies it.
Please note: photographs featuring identifiable people require their consent. Stock images require a licence covering commercial use, and AI-generated images may not be protectable or free of third-party rights.
9. Acceptable Use
You agree not to use NextReserva to: publish unlawful, misleading or defamatory content, or content infringing third-party rights; describe tours falsely or omit information material to the customer; collect, through our Widgets or Tap to Pay, amounts that do not correspond to tourism services actually provided by your business; send unsolicited communications to contacts who have not consented; attempt to access other users' data; circumvent technical limits, reverse engineer, copy or resell access to the platform; or subject the platform to automated loads that degrade the service for other users.
10. Your Relationship With End Customers
The contractual relationship with the customer who books a tour is yours, not ours. It is up to you to: deliver the service as advertised; define and communicate your cancellation and refund policy; respond to complaints; and handle refunds and chargebacks. Refunds to end customers are debited from your Stripe account, and commissions already withheld on a refunded booking are not returned unless the law requires it. In the event of a chargeback, the amount and associated charges are your responsibility.
11. Access for Your Team
You can create login credentials for your guides and drivers, giving them access solely to the mobile application and only to the data assigned to them β never to your dashboard. You are responsible for choosing who receives those credentials, for revoking them when someone leaves your team, and for all actions taken through them, including charges made via Tap to Pay. You must ensure your team handles customer data in accordance with applicable law.
12. Tax and Invoicing Obligations
When you connect NextReserva to an invoicing system, we simply pass the booking data to that system so it can issue the document. Invoices are issued in your company's name and under your tax responsibility. It is up to you to ensure your company details are correct, that the tax rates applied are the correct ones, that you use certified software where the law requires it, and that you meet the reporting obligations of your country. NextReserva does not provide accounting or tax advice and does not guarantee the tax compliance of the documents issued.
13. Data Protection
With respect to the personal data of your customers and staff, you are the data controller and NextReserva acts as processor, handling that data only on your instructions and to provide the service to you. It is your responsibility to ensure you have a lawful basis for collecting that data and that you inform data subjects as the law requires. We use sub-processors for parts of the service β notably hosting, payment processing, invoicing, sales channels and communications β and undertake to require equivalent safeguards from them. The processing we carry out is described in our Privacy Policy.
14. Third-Party Services
NextReserva integrates with third-party services, including Viator, GetYourGuide, Stripe, Moloni, Meta/WhatsApp, Apple and Google. Those services are governed by their own terms and policies, which you accept by using them. We do not control the availability, pricing, rules or decisions of those third parties: we are not responsible for outages, API changes, pricing changes, account suspensions or refusals of service on their part, nor for any resulting losses. If a third party stops offering an integration, we may have to discontinue it.
15. AI Assistant and Automatic Translations
The platform includes artificial intelligence features, including the Alva assistant, Product description generation and automatic translation of Widget content. These outputs are generated automatically and may contain errors, inaccuracies or poor translations. You are responsible for reviewing any AI-generated content before publishing it or sending it to a sales channel, and you remain answerable to your customers for published content, whether written by you or generated by the platform.
16. Intellectual Property
The NextReserva platform, its software, interfaces, documentation, brand and logos are our property and are protected by law. For the duration of your subscription, we grant you a limited, revocable, non-exclusive and non-transferable licence to use the platform in your business. You may not copy, modify, decompile, resell, sublicense or present the platform as your own without written agreement. Content you upload remains yours.
17. Service Limitations & Liability
NextReserva acts as a logistics engine and channel manager. While we strive for 100% uptime and precise synchronization with GetYourGuide and Viator, we are not responsible for errors originating from OTAs (Online Travel Agents) or data delays at the API level.
You are responsible for verifying manifest accuracy before any tour departure.
18. Tap to Pay (iPhone and Android)
The NextReserva Guide application lets you accept contactless card payments directly on a mobile phone, on both iPhone and Android, through Stripe Terminal infrastructure. By enabling or using this feature, you agree to be bound by the Stripe Services Agreement and the Stripe Terminal Terms, as well as the terms of your device platform: on iPhone, Apple's Tap to Pay on iPhone Terms and Conditions, presented to you on the device itself on first use; on Android, the applicable Google and Stripe terms for Tap to Pay on Android. NextReserva acts as a software integrator and does not store or directly process cardholder data or PIN codes β all transactions are completed through Stripe's certified infrastructure. Availability of the feature depends on the device model, operating system version, presence of NFC and the country of your Stripe account, and may be changed or discontinued by Apple, Google or Stripe.
Note: Tap to Pay should only be enabled by account administrators or authorised representatives of the merchant. If you are a guide or driver without authorisation, contact your supervisor before enabling the service.
19. Suspension and Account Closure
We may suspend or close access to your account in the event of non-payment, unlawful use or use contrary to these Terms, risk to the security of the platform or its users, or repeated failures by third parties on which the service depends. Wherever possible, we give prior notice and an opportunity to put things right. After closure, we provide a reasonable window to export your data, after which it may be permanently deleted.
20. Changes to These Terms
We may update these Terms to reflect changes to the service, to applicable law or to our commercial conditions. Material changes β in particular to prices or commissions β will be communicated by email or through the dashboard with reasonable notice. Continued use of the service after the changes take effect constitutes acceptance.
21. Governing Law and Jurisdiction
These Terms are governed by Portuguese law. The courts of Lisbon shall have exclusive jurisdiction over any dispute arising from these Terms, to the exclusion of any other, without prejudice to any mandatory rules that may apply. If any provision of these Terms is held invalid, the remaining provisions remain in force.
